The president of RSL NSW Mick Bainbridge has resigned from the board along with three other directors in a shock move made just minutes before a scheduled vote on his removal.

The announcement was made to the board on Thursday morning, 12 minutes before a planned meeting to decide whether Mr Bainbridge and fellow director Paul James should be forcefully removed.

In a joint letter to RSL District Councils, Mr Bainbridge, Mr James, and fellow directors Phillip Chin and Dr Charles New said their decision followed "serious concerns about governance, transparency and accountability".

"Given our concerns, which remain unaddressed, we do not believe that we can continue in our roles," they wrote.
