GRAND RAPIDS, MI — Shareholders on Friday, Dec. 5, voted to approve the terms of HNI Corporation’s $2.2 billion acquisition of Steelcase.
Steelcase announced in August it had entered into an agreement for rival furniture company HNI Corp. to acquire it in a cash and stock transaction, with a total consideration of approximately $2.2 billion to Steelcase common shareholders.
Approximately 99.6% of Steelcase shares voted were cast in favor of the agreement. About 96.88% of HNI shares voted were cast in favor, according to a release from both companies.
With the agreement approved, the sale is expected to close on Wednesday, Dec. 10, subject to the satisfaction or waiver of customary closing conditions specified in the merger agreement.
