(the “ Company “) is pleased to announce that, further to its press release of July 31, 2025, it has entered into an amalgamation agreement dated September 30, 2025 (the “ Amalgamation Agreement “) with Relief AI Inc. (“ Relief AI “) and 1001359160 Ontario Inc. (“ Subco “), a wholly-owned subsidiary of the Company, pursuant to which the Company will acquire all of the issued and outstanding common shares of Relief AI by way of a three-cornered amalgamation (the “ Amalgamation “) in accordance with Section 174 of the Business Corporations Act (Ontario) (the “ Proposed Transaction “).
